These Terms of Service (“Terms”) govern your access to and use of the website, services, and tools provided by VT Wyatt LLC (“VT Wyatt,” “we,” “us,” or “our”). By accessing our website at vtwyatt.com or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

Services

VT Wyatt provides digital marketing services exclusively for healthcare and professional practices. Our services include advertising campaign management, competitive intelligence, full-funnel revenue attribution, AI-powered receptionist services (V), website development, campaign optimization, predictive budget allocation, reputation management, SEO content creation, patient pipeline nurturing, and related tools and reporting. The specific scope of services for each client is defined in a separate service agreement.

Budget Calculator

The budget calculator available on our website provides estimates based on market data, including search volume, competition levels, and historical performance benchmarks. These estimates are informational only and do not constitute a guarantee of results. Actual marketing performance varies significantly based on geographic market, competition intensity, practice reputation, ad spend levels, and other factors outside our control. Calculator results should not be relied upon as projections of future performance.

Eligibility

Our marketing services are available to licensed healthcare and professional practices and their authorized representatives. By engaging our services, you represent that you are authorized to act on behalf of the practice and that the practice holds all required licenses and credentials to operate in its jurisdiction. Website visitors may browse our site and use the budget calculator without restriction.

Account Responsibilities

When you engage our services, you agree to:

• Provide accurate, current, and complete information about your practice during onboarding and throughout the service relationship.
• Maintain the security of any account credentials, logins, or access we provide to reporting dashboards or tools.
• Notify us promptly if you become aware of any unauthorized use of your account or any security breach.
• Accept responsibility for all activity that occurs under your account credentials.

Payment Terms

• Retainer fees: Monthly retainer fees are billed in advance at the beginning of each billing cycle as specified in your service agreement.
• Advertising spend: Ad spend budgets are managed on your behalf and billed separately. Actual ad spend is passed through at cost with no markup.
• Payment methods: Payments are processed via Stripe. You authorize us to charge your designated payment method for all fees due.
• Late payments: Invoices not paid within 15 days of the due date may result in service suspension until the balance is resolved.
• Cancellation: Either party may cancel services with 30 days' written notice. Upon cancellation, you are responsible for fees through the end of the notice period. There are no cancellation penalties or early termination fees.

Intellectual Property

• Our property: The VT Wyatt platform, proprietary systems, tools, methodologies, competitive intelligence engine, V (AI receptionist), and all related technology, software, and processes are the exclusive property of VT Wyatt LLC. Nothing in these Terms transfers ownership of our intellectual property to you.
• Your property: You retain ownership of your business data, patient information, brand assets, and content you provide to us. We use this information solely to deliver our services to you.
• Work product: Websites, landing pages, ad copy, and content we create for your practice are owned by you upon full payment. Campaign data, performance reports, and analytics generated through our platform are provided for your use but the underlying systems and methodologies remain ours.

AI-Powered Services Disclosure

Our services include V, an AI-powered receptionist that handles phone calls, text messages, and web chat interactions on behalf of your practice outside of business hours. V is an artificial intelligence system, not a human staff member. V is designed to sound natural and conversational, but callers are interacting with AI technology. By engaging our services, you acknowledge that AI-powered communication tools will be used to interact with your prospective and existing patients, and you agree to comply with all applicable laws regarding AI-assisted communications in your jurisdiction.

No Guaranteed Results

Marketing results vary based on market conditions, competition, ad spend, practice reputation, patient experience, seasonality, and many other factors. VT Wyatt does not guarantee specific lead volumes, appointment counts, revenue outcomes, search rankings, or return on investment. While we use proprietary technology and expert oversight to maximize performance, the nature of digital marketing means results cannot be predicted with certainty. Past performance data and case studies referenced on our website are illustrative and do not guarantee comparable results for your practice.

Limitation of Liability

To the maximum extent permitted by applicable law:

• VT Wyatt's total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to VT Wyatt in the twelve (12) months preceding the claim.
• VT Wyatt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of patients, loss of data, or loss of business opportunity, regardless of whether such damages were foreseeable.
• VT Wyatt is not liable for the actions or failures of third-party platforms including Google Ads, Meta Ads, or other advertising networks, or for changes in their policies, algorithms, or pricing.

Indemnification

You agree to indemnify and hold VT Wyatt LLC, its officers, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, your use of our services, or any violation of applicable law by you or your practice.

Termination

Either party may terminate the service relationship with 30 days' written notice. VT Wyatt may also terminate or suspend services immediately if:

• You breach these Terms or your service agreement and fail to cure the breach within 10 days of written notice.
• Your practice loses required licenses or credentials.
• Payment is overdue by more than 30 days.

Upon termination, we will provide you with your campaign data, website files, and any work product you have paid for. Access to our proprietary tools and platform will be discontinued.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and notify active clients via email. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
